Terms & Conditions

Please read these Terms & Conditions (“Terms”, “Agreement”) carefully before using the Zayah AI mobile application and related services (the “Service”).
These Terms constitute a legally binding agreement between you (“User”, “you”, “your”) and CPMX Tech LLC (“we”, “us”, “our”), headquartered in the United States, regarding your access to and use of Zayah AI.

By accessing, downloading, installing or using Zayah AI, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy (incorporated by reference herein). If you do not agree to these Terms, you must stop using the Service immediately.

I. DEFINITIONS

To clarify the rights and obligations under these Terms, the following definitions apply:

  • “App” means the Zayah AI mobile application accessible via iOS, Android, tablets and other devices.

  • “Content” means all data, text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other materials you may view, access or contribute to via the Service (excluding User Content).

  • “User Content” means any data, text, audio, images or other materials that you input, upload or transmit while using the Service.

  • “AI Output” means the responses, suggestions, conversational text or other content generated by the Service in response to your User Content.

  • “Crisis Situation” means any situation involving suicidal ideation, self‐harm, harm to others, severe mental health emergencies or other situations requiring immediate professional intervention.

  • “Intellectual Property Rights” means all forms of IP rights including patents, copyrights, trademarks, trade names, trade secrets, know‐how, algorithms, models, software, derivative works and similar rights.

  • “Service” means Zayah AI and all associated services provided by CPMX Tech LLC via app, website or other interface.

  • “Privacy Policy” means the policy document explaining how we collect, use, store and share your personal information, accessible at our website.

  • “User”, “you”, “your” means any individual using the Service.

II. NATURE OF ZAYAH AI & MEDICAL / THERAPEUTIC DISCLAIMERS

i. Self-help tool for emotional wellness

The Service is provided solely as a self-help tool for emotional wellness support, personal reflection, and general informational purposes. It is designed to help users manage everyday emotional challenges such as loneliness, anxiety, decision fatigue, overthinking and similar experiences.
Zayah AI is not a medical device, a licensed healthcare provider, a therapist, psychiatrist or any other qualified mental health professional.
 

ii. No professional advice, diagnosis or treatment

The Service does not provide medical, psychiatric or psychological advice; it does not diagnose, treat, or prescribe medication or therapy.
You should always seek the advice of a qualified health professional for any medical or mental health condition. Never ignore or delay seeking professional help because of something you’ve accessed via Zayah AI.

iii. No use in crises

Zayah AI is not intended or equipped to handle crisis situations including suicidal ideation, self-harm, harm to others, or other emergencies.
If you believe you are in a Crisis Situation, seek urgent professional help immediately (e.g., 911 in the U.S.). By using the Service, you agree not to rely on it for emergencies.
 

iv. Limitations of AI

The Service uses AI technologies (including large-language models). You acknowledge that:

  • The AI may produce inaccurate, incomplete, or inappropriate responses (“hallucinations”).

  • The AI’s responses are provided “as is” and may not be suitable for all users or circumstances.
    You agree to use the output at your own risk and to apply your own judgement.

III. USER REPRESENTATIONS AND RESPONSIBILITIES

i. Eligibility

You represent that:

  • You are at least 21 years of age or older and have the legal capacity to enter into this Agreement;

  • You are not located in any country subject to U.S. or international sanctions or export control restrictions.
     

ii. Account accuracy & security

If you create an account, you agree to provide accurate, current and complete information. You are responsible for safeguarding your credentials and for all activities under your account.
 

iii. Responsible use

You agree to use the Service for its intended purpose and in accordance with these Terms. Your interactions with Zayah AI are your responsibility.
 

iv. Prohibited activities

You must not, and agree not to:

  • Use the Service for any illegal, harmful, fraudulent or unauthorized purpose.

  • Upload or transmit content that infringes third-party rights, is defamatory, obscene, pornographic, violent, hateful or discriminatory.

  • Attempt to gain unauthorized access to the Service or related systems.

  • Use bots, data mining, scripts or automated systems to access or interact with the Service.

  • Commercialize, rent, lease, license or resell the Service without our prior written consent.
     

v. User Content

You retain ownership of your User Content but grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, transferable license to use, adapt, publish, distribute and analyse your User Content (in anonymised/aggregated form) in connection with operating and improving the Service.

IV. INTELLECTUAL PROPERTY RIGHTS
You acknowledge that CPMX Tech LLC retains all rights, title and interest in the Service, including software, algorithms, models, designs, trademarks, user interface and other IP assets.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial emotional wellness purposes only.
You may not copy, modify, distribute, resell or create derivative works of the Service without our express written permission.
V. PRIVACY POLICY & DATA USE
These Terms incorporate by reference our Privacy Policy. By agreeing to these Terms, you also agree to the terms of our Privacy Policy.
You explicitly consent to our collection and use of anonymised and aggregated User Content and interaction data to improve our AI models and services.
VI. SUBSCRIPTION FEES, BILLING & PAYMENT

i. Subscription types and fees

The Service offers:

  • Free version with limited features

  • Premium subscription (monthly or annual) with auto-renewal
    By selecting a subscription, you agree to pay the applicable fee in advance plus taxes.
     

ii. Auto-renewal

Premium subscriptions will automatically renew at the then-current rate until cancelled. You acknowledge and accept your recurring payment obligations.
 

iii. Free trial

If a free trial is offered, unless you cancel it before the end of the trial, you will be charged the applicable subscription fee automatically. We may modify or cancel free trials at any time.
 

iv. Cancellation & refunds

You may cancel your subscription at any time via your App Store or Google Play account settings. Refunds are subject to Apple/Google policies and internal rules.
Unless prohibited by applicable law, fees are non-refundable and non-transferable.
Cancellation does not affect your access until the end of the current paid period.
 

v. Price changes

We may change subscription prices at any time. If a price increase affects you, we will provide advance notice and you will have the option to cancel before the new price applies.
 

vi. Termination by us

We may terminate or suspend subscriptions for cause, without prior notice and without refund, but you may continue using the Service until the end of your current paid term.
 

VII. WARRANTY DISCLAIMERS
The Service and all Content are provided “as is” and “as available” without any warranties of any kind, either express or implied.
We explicitly disclaim warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted service.
We do not guarantee the Service will meet your expectations or be error-free, virus-free or uninterrupted.
VIII. LIMITATION OF LIABILITY
To the fullest extent permitted by law, CPMX Tech LLC and its officers, directors, employees, affiliates or successors will not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, goodwill or other intangible losses arising out of your access to or use of the Service.
Our total liability for any claim arising from your use of the Service will not exceed the amount you paid in the twelve (12) months immediately preceding the claim or USD 100, whichever is lower.
Some jurisdictions do not allow exclusion or limitation of liability; in such cases, our liability will be limited to the maximum extent permitted by law.
IX. INDEMNIFICATION

You agree to indemnify, defend and hold harmless CPMX Tech LLC, its affiliates, officers, directors, employees, agents, licensors and suppliers from any claims or losses arising from:

  • Your access to or use of the Service

  • Your User Content

  • Your violation of these Terms or applicable laws

  • Third-party claims related to your misuse of the Service

This obligation survives termination of these Terms.

X. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws provisions.
Any dispute arising from or relating to these Terms or your use of the Service will be submitted to the exclusive jurisdiction of the state or federal courts located in Broward County, Florida.

XI. TERM & TERMINATION

i. Term

These Terms remain in effect while you use the Service.

ii. Termination by You

You may stop using the Service at any time. If you wish to delete your account, you may do so via the app settings or contact us at privacy@zayah.ai. Termination does not relieve you of obligations prior to termination.

iii. Termination by Us

We may suspend or terminate your access at any time, without notice, if you breach these Terms, if required by law, or at our discretion.

iv. Effect of Termination

Upon termination, your license to use the Service ends. Sections that by nature survive termination (IP rights, disclaimers, limitations of liability, governing law, dispute resolution) remain in force.

XII. LINKS TO THIRD-PARTY WEBSITES OR RESOURCES

Our Service may contain links to third-party websites or resources. We are not responsible for the content or services of those websites.
You assume all risk when accessing external sites and should review their terms and policies.

XIII. COPYRIGHT / DMCA POLICY

We respect copyright law and expect users to do the same. Repeated infringement may result in account termination.

XIV. APP STORE TERMS

If you downloaded the App via a third-party store (e.g., Apple App Store, Google Play Store), you acknowledge:

  • These Terms are between you and CPMX Tech LLC (not the App Provider)

  • The App Provider is not responsible for the App beyond what they provide

  • Your rights against the App Provider are separate and governed by that provider’s terms

  • You must comply with the store’s terms in addition to these Terms

XV. FEEDBACK

We welcome feedback, comments or suggestions (“Feedback”). By submitting Feedback, you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable and transferable license to use, modify and exploit that Feedback without any obligation to you.

XVI. GENERAL PROVISIONS

i. Entire Agreement

These Terms, plus the Privacy Policy and any other policies posted by us, constitute the entire agreement between you and CPMX Tech LLC regarding the Service.

ii. Severability

If any portion of these Terms is found invalid or unenforceable, the remaining portions remain in full force and effect.

iii. Assignment

You may not transfer or assign these Terms without our prior written consent. We may assign them freely.

​

iv. Waiver

No failure to exercise any right under these Terms constitutes a waiver of that right. Waivers must be in writing.

v. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control (e.g., natural disasters, war, epidemics, governmental action).

vi. Headings

Section headings are for convenience only and do not affect interpretation.

vii. Notices

Any notices required under these Terms will be sent via email to the address associated with your account or posted on our website. For notices by email, the date of receipt is the date transmitted.
